Corporate Governance & Structuring

Most family enterprises don’t outgrow their founders. They outgrow their founders’ bandwidth and stall exactly there. Governance is not paperwork for the bank; it is the deliberate transfer of decisions from one person’s judgment to a system that holds without him. I design the board architecture, decision rights and reporting discipline that let a founder-led business pass institutional diligence and, harder still, let the founder step back without the business stepping down.

02Capital Efficiency

Capital Efficiency & Cash Discipline

Profit is an opinion. Cash is a fact. In this market, working capital sits hostage in inventory, debtors take ninety days while creditors give you thirty and the Kwacha moves against every imported input on your bill of materials. Capital efficiency is not a dashboard, it is knowing which of price, volume, mix and cost-to-serve actually moves cash and sequencing every decision accordingly. I translate the plant floor and the ledger into one board-level conversation: what is funding your growth and what is quietly financing it away.

03Legacy

Generational Wealth Preservation

Second-generation failure is rarely a wealth problem. It is a decision problem that compounds until the wealth pays for it. The enterprises that survive transfer stopped depending on the founder’s presence years before the handover, capital allocation, risk and control were made teachable, not tribal. I work with founders on the unsentimental questions: what the enterprise is worth without you, which assets deserve the family’s capital and how the next generation inherits judgment not just shares.
